Question: May charter schools include the option of proxy voting in their bylaws?

Answer: Proxy voting by a nonprofit corporation's directors/board members is not permitted under California Corporations Code 5211 (c). Proxy voting by the nonprofit corporation's members is allowed under certain circumstances. However, charter school corporations are generally corporations without members.
